Terms of Use and Sale

1. Preamble — Parties

These terms (the "Terms") govern access to and use of the cosmeticsready.com site and the CosmeticsReady Shopify app (the "Service"), published by Romain Lacube EI (the "Publisher"), whose details appear in the legal notice.

The Service is offered to professional merchants operating a Shopify store (the "Customer"). Use of the Service implies unreserved acceptance of these Terms.

2. Service scope

CosmeticsReady is a Shopify app that lets the Customer enter the cosmetic composition of their products (INCI ingredients, fragrance allergens, manufacturer, EU responsible person, safety warnings), displays this information on the product page through a Shopify theme app block, highlights the 80 fragrance allergens of Reg. 2023/1545, and renders it in several EU languages.

The Service is a display aid for regulatory information. It is not a product safety assessment (CPSR/PIF) and not a certification. It does not constitute legal advice and does not guarantee the Customer's overall compliance with applicable regulations.

3. Service access

The Service is accessible 24/7, subject to maintenance operations and force majeure events. Installation requires an active Shopify store and the necessary OAuth permissions. A 99% monthly availability target is aimed for without constituting a contractual commitment.

4. Pricing and billing

The Service is offered as a monthly subscription at the price indicated on the pricing page, including a free plan under the conditions displayed. Billing is carried out exclusively via the Shopify Billing API: the Publisher neither collects nor stores any banking data.

Prices are indicated in euros. Pursuant to art. 293 B of the French General Tax Code: "VAT not applicable, art. 293 B of the French General Tax Code (small business exemption)".

5. Cancellation

The Customer may cancel at any time from their Shopify admin by uninstalling the app. Cancellation takes effect at the end of the current billing cycle. No prorated refunds are issued, except where required by law.

The Publisher may terminate the Service in the event of a serious breach by the Customer after notification that has remained without effect for 7 days.

6. Customer obligations

• Provide accurate and up-to-date composition information (INCI, manufacturer, EU responsible person, warnings) — the truthfulness of this information is the sole responsibility of the Customer;
• Maintain a Shopify store compliant with Shopify's Terms of Service;
• Not attempt to circumvent the security measures of the Service;
• Not use the Service for unlawful purposes.

7. Limitation of liability

The Publisher provides the Service under a best-efforts obligation. The Publisher's total liability shall not exceed the amount of sums paid by the Customer over the last twelve (12) months.

The Publisher shall not be held liable for indirect damages (loss of revenue, administrative inspection, marketplace suspension). The Customer remains solely responsible for the truthfulness of the composition entered and the overall compliance of their products.

8. Intellectual property

The Service and its contents remain the exclusive property of Romain Lacube EI. The Customer benefits from a personal, non-exclusive and non-transferable right of use, limited to the duration of their subscription.

The product data entered by the Customer remains their property. The Publisher undertakes to use it only for the purposes of the Service.

9. Personal data

Detailed in the privacy policy, which forms an integral part of the Terms.

10. Governing law and jurisdiction

These Terms are governed by French law. Any dispute, failing amicable resolution, shall fall within the exclusive jurisdiction of the French courts having jurisdiction over the Publisher's registered office.

11. Mediation

In the event of a dispute, the Customer may free of charge refer the matter to the competent consumer mediator. Details available on request at [email protected].
